By accessing or using the Website, submitting information through the Website, joining a waitlist, reserving a consultation, or subscribing to communications, you agree to be bound by these Terms and our Privacy Policy.

The Privacy Policy is incorporated into and forms part of these Terms.

If you do not agree, do not use the Website.

Certain programs, assessments, memberships, consultations, and other services offered by Leela may be subject to separate agreements, waivers, informed consents, or additional terms, which will be provided to you before participation.

The information provided on this website regarding proactive health, wellbeing, longevity, assessments, coaching, and related programs is intended for general informational and promotional purposes only. Leela may offer intake surveys, consultations, biometric and physiological assessments, biomarker and fitness-related measurements, technology-assisted tracking, results reviews, personalized wellbeing programs, coach-guided services, memberships, and other related products and services.

Any recommendations, assessments, programs, or services offered by Leela are subject to factors including the information you provide, assessment availability, service suitability, staff availability, operational capacity, and the professional judgment of Leela and its employees, agents, contractors, and affiliated professionals, as applicable. Submission of an intake form, application, inquiry, or waitlist request does not guarantee acceptance into any program, access to any service, the availability of a particular assessment, appointment date, coach, practitioner, or provider, nor does it guarantee any specific result, outcome, improvement, or health benefit.

You are responsible for providing information that is accurate, current, complete, and not misleading. You must promptly disclose any relevant medical conditions, medications, injuries, physical limitations, allergies, pregnancy, mental health concerns, or other circumstances that may affect your ability to participate safely in any assessment, program, service, or activity offered by Leela. Failure to provide complete and accurate information may affect the suitability of recommendations or services and may result in Leela declining, modifying, suspending, or terminating your participation.

Leela may provide information regarding potential benefits, research-informed approaches, validated technologies, assessments, coaching methodologies, educational resources, and habit-building strategies. Any descriptions of potential benefits, outcomes, case studies, testimonials, research findings, or expected results are provided for informational purposes only and should not be interpreted as guarantees, warranties, or representations that similar results will be achieved.

Individual responses to assessments, programs, coaching, recommendations, interventions, and lifestyle changes vary significantly based on numerous factors, many of which are outside Leela's control. Accordingly, Leela makes no representations, warranties, or guarantees regarding any particular outcome, result, improvement, or benefit.

Without limiting the foregoing, Leela does not guarantee improvements in health, wellbeing, stress levels, sleep quality, mood, cognitive function, mental performance, physical performance, body composition, weight management, metabolic health, recovery, resilience, fitness, longevity, professional performance, productivity, quality of life, or any other physical, mental, emotional, or lifestyle outcome.

Unless otherwise approved by Leela in writing, the website and related services are intended for individuals who are at least 18 years of age and legally capable of entering into a binding agreement. Where Leela elects to provide services to a minor, participation may be subject to parental or guardian consent and any additional conditions imposed by Leela.

Certain assessments, programs, memberships, coaching services, recovery practices, wellness activities, and other offerings may not be appropriate for all individuals. You are responsible for determining whether participation is suitable for you and for obtaining advice from a qualified healthcare professional where appropriate.

Participation in certain activities may involve physical, physiological, psychological, or emotional risks. Additional terms, informed consents, waivers, and participation agreements may apply to specific services and will be provided before participation where required.

Leela reserves the right to refuse, restrict, suspend, or terminate access to any service where it reasonably believes participation may present a risk to the health, safety, or wellbeing of any individual.

The website may promote founding member consultations, founding member pricing, a limited number of founding spots, priority booking, discounts, or future offers. All offers are subject to availability, eligibility, completion of required steps, and final confirmation by Leela.

Founding member pricing applies only to the first 40 consultation deposits confirmed following sign-up, unless Leela states otherwise in writing. Discounts, deposits, package terms, assessment fees, program fees, expiry dates, transferability, taxes, cancellation terms, refund terms, and no-show fees must be confirmed at the time of booking or purchase.

If you submit a form, reserve a consultation, join a waitlist, subscribe to updates, create an account, request information, or otherwise interact with Leela, you consent to Leela contacting you regarding your inquiry, submission, consultation, assessments, programs, services, scheduling, account administration, customer support, and other matters reasonably related to your relationship with Leela.

Communications may be provided by email, telephone, text message, direct message, or other electronic means using the contact information you provide. You are responsible for ensuring that your contact information remains accurate and current.

Where required by applicable law, including Canada's Anti-Spam Legislation (CASL), Leela will obtain any required consent before sending commercial electronic messages. Commercial electronic messages will identify the sender and include an unsubscribe mechanism where required by law. You may withdraw your consent to receive marketing communications at any time; however, Leela may continue to send administrative, transactional, operational, service-related, legal, safety, or account-related communications as permitted by applicable law.

The website and all content made available through it, including text, articles, blog posts, graphics, photographs, images, videos, audio recordings, designs, layouts, software, code, data, documents, assessments, program materials, methodology descriptions, trademarks, trade names, logos, branding elements, and other intellectual property (collectively, the “Content”), are owned by or licensed to Leela and are protected by applicable intellectual property, copyright, trademark, and other laws.

Subject to these Terms, Leela grants you a limited, revocable, non-exclusive, non-transferable licence to access and view the website and Content for your personal, non-commercial use only.

No provision of these Terms shall be construed as granting any licence, right, title, or interest in any trademark, trade name, logo, copyright, patent, trade secret, or other intellectual property of Leela except as expressly provided herein.

Third-Party Services are owned, operated, and controlled by independent third parties and are governed by their own terms of use, privacy policies, and practices. Leela does not own or control Third-Party Services and does not endorse, warrant, guarantee, or assume responsibility for any Third-Party Services, including their availability, security, accuracy, reliability, content, products, services, privacy practices, or compliance with applicable laws.

Your use of any Third-Party Service is solely at your own risk and subject to the terms and conditions of the applicable third party. Leela shall not be liable for any loss, damage, injury, claim, cost, expense, or liability arising from or relating to your access to, use of, or reliance upon any Third-Party Service.

The inclusion of any link, integration, reference, or connection to a Third-Party Service does not imply Leela's approval, endorsement, sponsorship, affiliation, or recommendation unless expressly stated otherwise.

Leela may modify, update, suspend, restrict, replace, or discontinue any part of the website, including its content, features, functionality, programs, consultations, memberships, services, offers, pricing, locations, and availability, at any time and without notice. Leela does not guarantee that the website or any feature thereof will be available at all times or free from interruptions, errors, delays, or security vulnerabilities.

Leela reserves the right to amend these Terms at any time by posting an updated version on the website and updating the “Last Updated” date. Unless otherwise stated, any changes will become effective immediately upon posting. Your continued access to or use of the website following the posting of revised Terms constitutes your acceptance of those changes.

If you do not agree with any amended Terms, you must discontinue your use of the website.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEELA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, COACHES, PRACTITIONERS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, AGGRAVATED, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, USE, OR ANTICIPATED BENEFITS, ARISING OUT OF OR RELATING TO:

• your access to, use of, inability to use, or reliance upon the website;
• any content, information, materials, statements, recommendations, links, or resources made available through the website;

This indemnity survives the termination of these Terms and your use of the website.

These Terms and your use of the website are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Subject to any mandatory rights or remedies available under applicable consumer protection legislation, you irrevocably attorn and submit to the exclusive jurisdiction of the courts of Alberta in respect of any dispute, claim, or proceeding arising out of or relating to these Terms or your use of the website.

Leela shall not be liable for any delay, interruption, failure, or inability to perform any obligation relating to the website where such delay, interruption, failure, or inability results from causes beyond Leela's reasonable control, including acts of God, natural disasters, fire, flood, epidemic, pandemic, public health emergency, labour disputes, utility failures, telecommunications failures, cyberattacks, governmental actions, civil unrest, war, terrorism, or other similar events.

Sections 10 (Intellectual Property), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnity), 16 (Governing Law and Jurisdiction), 17 (Severability), 20 (Entire Agreement), and any other provisions which by their nature are intended to survive shall survive termination of these Terms.

These Terms, together with the Privacy Policy and any documents expressly incorporated by reference, constitute the entire agreement between you and Leela regarding your access to and use of the website and supersede all prior or contemporaneous discussions, understandings, representations, warranties, communications, and agreements relating to that subject matter.

Separate waivers, informed consents, membership agreements, service agreements, purchase terms, and other agreements entered into between you and Leela govern the specific programs, assessments, consultations, memberships, products, and services to which they relate and are in addition to these Terms.

In the event of any conflict or inconsistency between these Terms and any separate waiver, informed consent, membership agreement, service agreement, or other agreement relating to a specific product or service, the terms of the applicable separate agreement shall govern with respect to that product or service to the extent of the conflict or inconsistency.

To the extent of any inconsistency between these Terms and another document expressly incorporated by reference into these Terms, these Terms shall govern unless the other document expressly states otherwise.
